Terms of Use

1. Acceptance of Terms
By accessing or using the KXT Energy website (kxtenergy.com) or investor portal, you agree to be bound by these Terms of Use. If you do not agree, you must immediately cease using the platform.
These terms are governed by the laws of England and Wales. Any dispute arising from your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Restricted Access — Institutional Investors Only
The investor portal is strictly restricted to persons who qualify as professional clients or eligible counterparties under the Financial Conduct Authority's Conduct of Business Sourcebook (COBS 3). Access to fund documents, capital call notices, NAV reports, and investment data is limited to investors who have:
- Completed our Know Your Customer (KYC) and Anti-Money Laundering (AML) verification
- Been formally onboarded by KXT Energy
- Received an authenticated invitation to the portal
Unauthorised access, credential sharing, or circumvention of access controls is prohibited and may constitute a criminal offence under the Computer Misuse Act 1990.
3. Not Investment Advice
Nothing on this website or within the investor portal constitutes investment advice, a financial promotion, or a solicitation to invest. All content is provided for informational purposes to existing investors and authorised institutional counterparties only.
Capital call notices, NAV reports, and fund documents are produced in accordance with the relevant Limited Partnership Agreement (LPA) and Private Placement Memorandum (PPM) governing each fund. Investors should refer to those documents and seek independent professional advice before making any investment decision.
Past performance is not a reliable indicator of future results. The value of investments may fall as well as rise, and you may receive back less than you invest.
4. Document Integrity
Certain documents on this platform — including capital call notices and NAV reports — are classified as immutable records. These documents:
- Cannot be altered, deleted, or superseded once uploaded
- Are retained for a minimum of 20 years in compliance with our regulatory obligations
- Serve as the authoritative record for capital deployment and fund valuation events
Any attempt to tamper with, misrepresent, or fraudulently alter these documents may constitute a criminal offence and will be reported to the relevant authorities.
5. Acceptable Use
You agree not to:
- Access the platform for any purpose other than your legitimate function as an investor or authorised KXT representative
- Share login credentials with any third party
- Attempt to probe, scan, or test the security of the platform
- Introduce malicious code, viruses, or disruptive software
- Scrape, copy, or redistribute fund documents or investor data without written permission
- Use the platform in a way that violates applicable law, including financial crime legislation
We reserve the right to suspend or terminate access for any breach of these terms without prior notice.
6. Intellectual Property
All content on this website — including text, graphics, data, fund structure diagrams, and investment analyses — is the intellectual property of KXT Energy Limited or its licensors. No content may be reproduced, distributed, or used for commercial purposes without prior written consent.
Fund documents shared via the investor portal remain the property of the relevant fund entity and are provided to investors solely in accordance with the terms of the applicable LPA.
7. Session Security
To protect investor data, the platform enforces the following security controls:
- Idle session expiry — sessions terminate automatically after 20 minutes of inactivity
- Single active session — logging in from a new device will invalidate all other active sessions
- Audit logging — all logins and administrative actions are recorded with timestamp and IP address
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Report any suspected unauthorised access immediately to security@kxtenergy.com.
8. Limitation of Liability
To the maximum extent permitted by law, KXT Energy Limited shall not be liable for:
- Any indirect, incidental, or consequential loss arising from use of or inability to access the platform
- Loss of data, profits, or business opportunity
- Errors or omissions in fund documents, provided they result from source data supplied by the fund administrator
- Interruptions to service caused by infrastructure providers, force majeure, or regulatory action
Nothing in these terms excludes or limits liability for fraud, death or personal injury caused by our negligence, or any other matter that cannot lawfully be excluded.
9. Changes to These Terms
We may update these terms at any time. The effective date at the top of this page will reflect the latest version. Continued use of the platform after an update constitutes acceptance of the revised terms. For material changes, we will notify investor portal users by email.
